Terms of Use

By using the Website, you expressly agree to comply with and be bound by the following terms and conditions (the "Agreement"), which we may change at any time by posting notice on the Website. Please read this agreement carefully, and please check these terms and conditions periodically for changes. If you do not agree to these terms and conditions, please do not use the Website. Use of our Website is limited to individuals who can form legally binding contracts under applicable law, and without limiting the foregoing, our services are not available to minors.

Section 1. The Service
1.1. Ugodeal is owned and operated by Ugodeal LLC. (“Ugodeal” or “we”, “our” or “us”). We offer a service (the “Service”) which connects buyers of services and goods (“Buyers”) with sellers of services and goods (“Merchants”). Merchants provide us with certain promotional offers (each an “Offer”), usually offering a discount if enough Buyers are willing to buy a service or good within a certain time period. We make these Offers available through the Site. When enough Buyers agree to purchase the good or service promoted in the Offer, the Merchant is bound to fulfill it. Ugodeal oversees collection of payment on behalf of the Merchant from the Buyer. Upon confirmation of payment, Ugodeal, again on behalf of the Merchant, issues the Buyer a voucher (“Voucher”) redeemable for the applicable service or good.
1.2. Whether you are a Merchant or a Buyer, these Terms apply to you. Therefore, Merchants and Buyers are referred to as “you” or “User” hereafter. Where the Terms are only applicable to one subset of Users or the other, we have so indicated. Additional specific Terms of Sale (hyperlink) apply to The merchant.
1.3. Because we are constantly innovating in order to provide better experiences for our users, we reserve the right to modify or discontinue any feature or aspect of the Site or the Service at anytime.
Section 2. Conditions
2.1. Offers often come with limitations. Buyers need to read the applicable terms of the relevant Offer. Offers for goods or services purchased at discount prices are often also subject to time limits or other restrictions which may require the Buyer to complete the transaction within a certain timeframe or in a certain manner in order to receive the benefit of the Offer. We will use reasonable efforts to make any limitations known to you when we post the Offer. You will not be able to redeem any Voucher in violation of the restrictions governing the Offer, and funds paid for such a Voucher will be non-refundable. If the voucher is only valid for a set period, the voucher may only be used during the period stated in the conditions of the offer. If the customer chooses not to use the voucher during this period, the voucher expires.
2.2. If there are no indications to the contrary in the conditions of the offer a voucher may only be redeemed once. No refunds will be made if the voucher is not used before the expiration date.

2.3. The sale of the voucher shall be effective only if the deal has reached the minimum required and when the payment has been processed fully and Ugodeal has received the money. If payment fails for the following reasons (the account does not exist, insufficient funds, the credit card number, mobile money voucher or other information is not correct etc.) the sale is not effective.
2.4. The Voucher link will be sent by email address that you entered at the registration process, when the sale has been processed successfully. The voucher will only be sent when the money has cleared in our account or the mobile money transaction code confirmed
2.5. Unless expressly stated otherwise in the Offer, (i) there is a limit of one Voucher per person per Offer and (ii) Vouchers are not redeemable in partial amounts. To the extent allowed by law, Vouchers may be gifted or sold. However, Users purchasing multiple Vouchers for the purpose of reselling may have their accounts frozen and may be banned from participating in future Offers. Each Voucher authentication number is only usable once. You are responsible for keeping your Voucher number secure. Neither the Merchant nor Ugodeal will be liable if your Voucher is lost or stolen.
2.6. Ugodeal is an intermediary and agent of the Merchant, and merely sells promotional Vouchers on behalf of the Merchant. If the Buyer has problems with the Voucher or the goods and services, we will use reasonable efforts to assist the Buyer in dealing with the Merchant. However, we cannot and will not guarantee any issuance of refunds or credits. Buyers will have to obtain those from the Merchant, if applicable.
2.7. Ugodeal will determine Buyer’s compliance with these Terms in its sole discretion. Ugodeal reserves the right to restrict, suspend, deny or terminate access to all or part of the Site or Service by any Buyer and to deny access to any Buyer in its sole discretion without notice or liability of any kind.
2.8 The duration of the sale of a voucher is limited and is determined individually for each offer. No more vouchers can be bought after expiration of this period.
2.9. When a voucher has been purchased it can’t be revoked.
2.10. If you redeem a voucher for less than its value you won’t be entitled to a credit or cash in any case.
Section 3. User Information and Account Security
3.1. In order to use the Site or to access the Service, you may be required to provide personal information (such as identification or contact information) as part of the registration process, or as part of your use of the Site and the Service. You agree that any registration information you give to Ugodeal will be accurate, correct and up to date. Please refer to our Privacy Policy for information regarding our collection and use of your personal information.
3.2. You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with your Account. You agree that you will be solely responsible for all activities that occur by any user logged in using your account credentials. If you become aware of any unauthorized use of your password or of your account, you agree to notify Ugodeal immediately at info@ugodeal.com.
3.3. Ugodeal will generally communicate with its Users by electronic means, such as email. As a User, you give consent that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Section 4: Use of Chat Rooms, Bulletin Boards and Other Interactive Areas

The Website may contain discussion forums, bulletin boards, review services or other forums in which you or third parties may post reviews of travel experiences or other content, messages, materials or other items on the Website ("Interactive Areas"). If Ugodeal provides such Interactive Areas, you are solely responsible for your use of such Interactive Areas and use them at your own risk. By using any Interactive Areas, you expressly agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Site any of the following:
a. Any message, data, information, text, music, sound, photos, graphics, code or other material ("Content") that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;
b. Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local or international law,
c. Content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
d. Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;
e. Unsolicited promotions, political campaigning, advertising or solicitations;
f. Private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;
g. Viruses, corrupted data or other harmful, disruptive or destructive files;
h. Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted; or
i. Content that, in the sole judgment of UGODEAL, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Site, or which may expose UGODEAL or its affiliates or its users to any harm or liability of any type.
Ugodeal takes no responsibility and assumes no liability for any Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto, nor is Ugodeal liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. As a provider of interactive services, Ugodeal is not liable for any statements, representations or Content provided by its users in any public forum, personal home page or other Interactive Area. Although Ugodeal has no obligation to screen, edit or monitor any of the Content posted to or distributed through any Interactive Area, Ugodeal reserves the right, and has absolute discretion, to remove, screen or edit without notice any Content posted or stored on the Site at any time and for any reason, and you are solely responsible for creating backup copies of and replacing any Content you post or store on the Site at your sole cost and expense.

Any use of the Interactive Areas or other portions of the Site in violation of the foregoing violates these Site Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site. In order to cooperate with legitimate governmental requests, subpoenas or court orders, to protect Ugodeal's systems and customers, or to ensure the integrity and operation of Ugodeal's business and systems, Ugodeal may access and disclose any information it considers necessary or appropriate, including, without limitation, user profile information (i.e. name, email address, etc.), IP addressing and traffic information, usage history, and posted Content. Ugodeals right to disclose any such information shall govern over any terms of UGODEAL's Privacy Policy.
Section 5. Limitation of Liability
Without any limitation of anything else set forth in these terms of service, Ugodeal further limits its liability in connection with your use of the site or service as set forth below:
5.1. Under no circumstances shall Ugodeal, its subsidiaries or affiliates, or directors, Officers, Employees, or other representatives of each of them (Collectively, the “Ugodeal entities and individuals) be liable to you for any indirect loss or damages of any kind, including without limitation, for any special, indirect, incidental, exemplary, economic, punitive, or consequential damages that are directly or indirectly related to: (i) The site or the service or any offer; (ii) the use of, inability to use, or performance of any third party products or services; (iii) the legality, accuracy quality or authenticity of content, information, advertisements, services or products provided by any third party; (iv) anu errors or omissions in the technical operation of the site or service, even if foreseeable or even if entities and individuals have been advised if the possibility of such damages whether in an action of contract, negligence, or strict liability. In addition, Ugodeal’s liability to you for direct damages for any claim related to any of the foregoing shall be capped at the amount which you have actually paid to Ugodeal in conjunction with the offer under which such claim first arose. Nothing in these terms of services limits or excludes Ugodeal’s liability for: (a) death or personal injury caused by its proven negligence; (b) the tort of deceit; or (c) any liability to the extent it cannot be limited or excluded by law.
5.2. The Ugodeal entities and individuals are not responsible for any damage to any user’s computer, hardware, computer software, or other equipment or technology including, without limitation, damage from any security breach or from any viruses, bugs, tampering, fraud, error, omission, interruption, defect, delay in operation or transmission, computer line or network failure or any other technical or other malfunction.
5.3 Your access to and use of the site and services is at your own risk. If you are dissatisfied with this site or service, your sole and exclusive remedy is to discontinue accessing and using the site and it’s services.
5.4. You recognize and confirm that if you incur any damages, losses or injuries that arise out of Ugodeal’s act or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of the site or the service.
Section 6. Intellectual Property
6.1. All content and software on the Site is the property of Ugodeal, affiliated companies, partners, or content suppliers. This includes, but is not limited to, all text, images, graphics, logos, and software code. You may not modify, rent, lease, loan, sell, distribute or create derivative works based on this content (either in whole or in part) unless you receive specific permission to do so in a separate written agreement from Ugodeal or the owners of the content. Unauthorized use of any content displayed by Ugodeal is a violation of international copyright laws.
6.2. User acknowledges and agrees that “Ugodeal” is the sole owner of the Brand marks “Ugodeal”, and that its ownership extends to all rights generally affiliated with ownership, including but not limited to any and all copyright and trademark rights, all rights of possession and all rights of use of the Brand.
Section 7. Termination
We may change or discontinue the Site or any of the Services at any time without prior notice. We reserve the right to terminate this Agreement at our election and for any reason, without prior notice, and this Agreement will automatically terminate in the event that you violate any of the terms and conditions set forth below. In the event of any termination, you will immediately cease access to the Site and Services. Any Voucher issued prior to termination will be honored according to its terms and the terms of this Agreement specifically applicable to such Voucher.
 
Terms of Sale
(Apply to The merchant)
General Conditions Ugodeal LLC
Ugodeal is regularly visited by a large amount of internet users. The Merchant wishes to increase his notoriety by using the promotions and advertising offered by Ugodeal. It is for that purpose that The Merchant offers its products or services for sale through vouchers (the "Voucher(s)") which can be redeemed for The Merchant's goods and/or services, which are offered to the public for purchase at Ugodeal.com . The following statements have been agreed between both parties:

1. Scope: These terms have been agreed between traders
2. Ugodeal allowances:
2.1 Ugodeal, as an independent contractor to its members and acting as an intermediary to the Merchants that it doesn’t represent, sells to its members, vouchers giving the members access to the offers described in the particular conditions
2.2 Ugodeal sells the vouchers through his website, for the city for which the vouchers have been issued or group of cities, and this in the strict conditions of article 6 here-after, among other offers for the same cities, available at the same time for online shopping, during one day at least (24 hours) within a month from the date of signature of the current agreement.
2.3 Ugodeal sells the vouchers, during one day (24hours) at least per month (“action”) after request of the Merchant. The request of the Merchant should be done by written at least 10 days prior to the offer being published in order to prepare the set up of the request of the Merchant and to ensure a good coordination with the other offers of other Merchants.
2.4 It will be specified on the vouchers that the members are forbidden to sell or transfer their vouchers. The validity date of the voucher will also be specified
3. Merchant’s allowances
3.1. Each Merchant is required to submit a signed written schedule for each Offer the Merchant wishes Ugodeal to publish on the Service (an “Offer Schedule”). Any provision of an Offer Schedule which has been signed by us and expressly overrides these Terms will take precedence over these Terms, but these Terms will otherwise govern the relationship between the Merchant and Ugodeal.
3.2 .The Merchant hereby appoints Ugodeal as its limited agent, solely for the purposes of (i) promoting those Offers where The Merchant and Ugodeal have cosigned an Order Schedule, (ii) collecting payment on behalf of The Merchant when the minimum aggregate number of Buyers specified in the Order Schedule has been reached, and (iii) for issuing Vouchers in accordance with the terms specified in the Order Schedule to paid up Buyers.
3.3 The Merchant warrants (i) it will honor the terms of all purchased Offers in a professional manner, (ii) it will not impose any term on any Offer which is in violation of applicable law
3.4 The Merchant agrees that in providing the goods/services that are the subject of the Voucher, it will not impose any extra or additional fees or charges that contradict the terms set forth on the face of the Voucher.
3.5 The Merchant acknowledges that the availability of Services shall be on a first-come, first-serve basis. Ugodeal shall not, under any circumstance, be liable to the The Merchant for lack of availability of the Site. The Merchant further acknowledges that Ugodeal is under no obligation to display or keep open any Offer.
3.6 The Merchant will inform Ugodeal of any changes is his organization that might affect performances of this agreement
4. Payment.
Ugodeal shall remit payment to The Merchant for each Voucher properly Activated for which a purchaser has fully paid, and for which The Merchant has provided associated goods and/or services to purchaser of an amount corresponding to the Ugodeal offer after deduction commission kept by Ugodeal and the taxes on commission . With the sole exception of taxes on Ugodeal’s net income, The Merchant is responsible for collecting from Buyer and paying any and all applicable taxes and fees, including, without limitation, sales, use, gross income and value added taxes, associated with the Services or the fulfillment of any Offer. It is The Merchant’s responsibility to provide Ugodeal with a redemption code each time a good or service is delivered to purchaser by mail, fax or e-mail at vouchers@ugodeal.com. No payment will be done by Ugodeal for vouchers given to the Merchant after expiration date. Upon receipt of these codes, which serve as proof of delivery of goods and services to purchasers, Ugodeal will forward the due amount. These payments will be sent approximately every two weeks as long as the balance due to the The Merchant is in excess of 100GHc.

Amounts retained by Ugodeal are compensation to Ugodeal for the service of advertising and selling the Vouchers for The Merchant. The Merchant must be registered for sales and use tax collection purposes, and shall be responsible for paying all sales and use taxes related to the goods and services described in the offer. If, in Ugodeal’s determination, The Merchant has not provided goods or services consistent with the Voucher Program Specification, Ugodeal will have the right to: (1) not pay any Remittance Amount in connection with any applicable Vouchers, and (2) refund any purchaser of a Voucher or all purchasers of Vouchers in the relevant Voucher Program.

5. Licence
The Merchant agrees that Ugodeal may use worldwide The Merchant’s name and brand information in connection with making available and promoting any Offer by that The Merchant and identifying The Merchant as a party that sells or has sold goods or services through the Site. The Merchant agrees to allow Ugodeal to use photographs of The Merchant’s business or merchandise for all media/publicity purposes. Ugodeal will reasonably comply with any trademark guidelines provided by The Merchant to Ugodeal.
The Merchant represents and warrants that: it will have and grant sufficient intellectual property rights in any content which it provides to Ugodeal (including, without limitation any logo or photograph) to allow Ugodeal to copy, publish, disclose and display such content on the Site and as otherwise necessary to promote and fulfill the Offer, and (iv) it shall collect and use personal information from Buyers only in accordance with applicable law and the terms and conditions of the Privacy Policy
The Merchants warrants Ugodeal of any action, complain of any persons claiming a right to intellectual property and will compensate Ugodeal, at the first request of any damage, losses, costs and expenses whatsoever due to the non compliance by the Merchant to any of the warranties stated in this article.

6. Exclusivity
6.1. Ugodeal will not promote during the day (s) the voucher of The Merchant is sold through Ugodeal website other allowance of the same nature of the ones of the voucher for the same city for which this voucher is sold.
6.2 The Merchant agrees that he will not promote an online or offline offer with respect to the products or services described in this Agreement of similar or greater value for a period up to 90 days from the Effective Date, plus a minimum of 90 days following The Merchant's date of feature on the Ugodeal Website.

7. Terms and Termination
This Agreement shall continue in effect for the longer of one (1) year following the Effective Date or the last date when a customer of Ugodeal redeems a Voucher offered by The Merchant through Ugodeal. Ugodeal may terminate this Agreement at any time for any reason by giving The Merchant written notice of such termination. Ugodeal will terminate The Merchant for any repeat copyright infringement activity. The expiration of the Term shall not in any way affect the purchaser’s usage of the Voucher, or The Merchant's obligation for redemption of the Voucher and any claims for payments due either party, shall survive any expiration or termination of this Agreement.
